Terms of use

The licenser grants the customer an unlimited, nontransferable licence for access to the iculco Academy exclusively based on the following Standard Business Conditions and in the context of the written offer, including the licence-contract and all products and services offered by iculco:

• Access to the profile on www.iculco-academy.com – including the management interface for users, like employees, members, customers or suppliers
• Integration of a corporate image text with up to 5.000 characters (“about us text”) and the company’s logo in the profile page
• iculco Academy: access to our online-trainings including using the intercultural assessment tool and the intercultural awareness training Basic Key for all employees
• Instruction within a webinar for the appropriate use of the iculco company management interface.
• Instruction within an webinar for the appropriate use of the iculco training in your company

Liability Delimitation

The licenser is responsible to set up, to adjust and to provide the company profile page, the administration instruction and the instruction for participants of the basic key. Furthermore the licenser is responsible for the guarantee and the access to the contract-agreed trainings-contents.

The customer is responsible for verification and administration of his members and for the administration of his employees. Employees, members, customers and suppliers, which join the customers profile page, will also accept and follow this Standard Business Conditions.

Non-disclosure Agreement

The licenser commits to assert the customers privacy. Authorised iculco staff is only allowed to use and edit “must-know” basic customers data.

Confidentiality

All customer-data are kept in confidence and will not be passed to third parties, except for iculco business partners, if this is necessary for their services and, if prescribed, to public authorities.

The licenser will not sell, rent or exchange the customers personal data to third parties or use the email addresses for unasked email contacts. iculco sends e-mails only on demand and in connection with our services and products.

Copyright Notice

The licenser authorizes the costumer to copy and download public, non-proprietary material of the iculco websites, trainings, products and services, which are declared as those, for internal use.

All material is owend by the licenser, his suppliers, customers or users. “Material” means the whole iculco website content, incl. all texts, graphics, pictures, logos, push buttons, icons and other by the licensers used and developed technologies. Copyrights, brands and other rights on intellectual property exist for the whole material, incl. the iculco services, logos and the whole website content.

Links on the iculco website

The licenser does not control other websites, which are linked on our iculco website. The licenser is not responsible for data protection, practices or content of those third parties websites.

Disclaimer

a)Content on the iculco website is offered free from every verification, explicitly or implicitly. The licenser does not take any liability, guarantee or warranty for the following: warrant of merchantability, infringement of a right (ownership / property), infringement or non-infringement of other parties rights and the capableness of the website for any purposes (non-exhaustive enumeration). The licenser does not take any liability, guarantee or warranty for the reliability, validity, totality, propriety or actuality of the website or its available informations.

b)Without restriction of a): The licenser does not guarantee, that the website(s) and offered services are accurate or virus-free or free of other deleterious mechanism and does not warranty, if any damages on data, software or other equipments evolve from using this website(s), directly or indirectly.

c)It cannot be technically ascertained that a registered user as iculco is the person, he claims to be. The licenser cannot take the responsibility for the identification of any iculco user. Every user has to convince himself of the others identities.

d)The licenser does not take any guarantee, warranty or acceptance on any services, data or informations which are placed by iculco users, neither on the iculco website nor on other linked or connected sites. The licenser does especially not guarantee, that this content, data or information is correct, true, complete, reliable, in time available or usefull for a special intention. This also applies to any communication between users. The customer declares, that every use of the iculco-website(s), especially the communication between users and the publication of any content is done on own risk and responsibility.

e)The licenser does not take any responsibility or guarantee relating to the website(s) content, inclusive, but not limited on damaged links, inexactness or typing errors.

Indemnity

The customers releases the licenser from any liabilities and requirements, inclusively indemnity claims, which other users or third parties lodge to the licenser, because of infringement of their rights by posting their contents on iculco website(s) by the customer. The customers also releases the licenser from any liabilities and requirements, inclusively indemnity claims, which other users or third parties lodge to iculco, because of infringement of their rights by using the iculco website(s) services by the customer. The customer accepts all iculco costs, which are incurred by the infringement of third parties or users rights, inclusively legal costs. All further rights as for example indemnity claims are remained unaffected.

If third parties rights are infringed by customers content, the customer will, addicted to iculco´s choice and on customers costs, provide iculco the right of use or create the content trademark-free. If by using the iculco-website(s) services other rights are infringed, the customer will discontinue the contrary to contract or / and illegal use after request by iculco immediately.

General

The business conditions are under federal supervision of Germany, untouched by the conflict of other legal principles. Place of jurisdiction is the licenser ´s place of business in Germany.

Expiration of the contract

The agreement is valid temporally unlimited from the day of signature the contract by customer and the licenser.

Both parties, customer and the licenser, have the right, to terminate the agreement for any cause and without notice period.

Amendment of Standard Business Conditions

The licenser is allowed to change this standard business conditions any time. The modifications are obligatory and active to the customers from the moment of publication. By every use of the iculco website(s) the actually valid standard business conditions are accepted.
